These Terms of Service ("Terms") govern your use of Direct AI (the "Service"), provided by Creativverse Studio Ltd ("Company," "we," "our," or "us"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service
Direct AI provides AI-powered tools for ideation, scripting, translation, text-to-speech, image/video generation, thumbnails, and related features for content creators. We may add, change, or remove features at any time (including beta/experimental features). We are not a backup or archival service; always keep your own copies of important content.
2. Eligibility & Accounts
You must be at least 13 years old (or older if your local law requires). You are responsible for your account and for safeguarding access (e.g., device, browser, Google sign-in). Notify us promptly of any unauthorized use. We may refuse, suspend, or terminate accounts that violate these Terms or applicable law.
3. Your Content & License to Us
You retain ownership of content you upload or provide ("User Content"). To operate the Service, you grant us a non-exclusive, worldwide, royalty-free license to host, cache, process, transmit, display, and create transient copies of User Content solely to provide, maintain, secure, and improve the Service and to comply with law. We do not claim ownership of your outputs. If we offer optional model-improvement programs, we will present a clear opt-in/out control. You are responsible for ensuring you have all rights needed to upload and process User Content and that it does not infringe third-party rights or violate law.
4. AI Outputs & Your Responsibilities
AI outputs may be non-unique, may contain errors, and may require human review. We do not guarantee originality, accuracy, or fitness for a particular purpose. You are solely responsible for how you use outputs (e.g., compliance with YouTube rules, intellectual property laws, disclosures, and platform policies). Nothing here is legal, financial, or professional advice.
5. Acceptable Use
You agree not to, and not to allow others to:
- Violate law, platform policies (e.g., YouTube Terms of Service), or third-party rights.
- Upload or generate unlawful content (e.g., child sexual content, exploitation, doxxing, incitement to violence, malware).
- Harass, spam, or engage in deceptive or manipulative practices (including engagement farming).
- Attempt to bypass model/abuse safeguards, rate limits, or security measures.
- Scrape, reverse engineer, or misuse the Service or its data.
- Resell access or credits without our written permission.
We may throttle, suspend, or terminate access for suspected abuse.
6. Subscriptions, Credits, Billing & Taxes
6.1 Plans & Credits
Paid plans allocate credits to use certain features. Credits are consumed as you generate assets and typically reset each billing period. Credits have no cash value, are non-transferable, and expire at period end or on termination.
6.2 Auto-renewal
Subscriptions auto-renew until canceled. You can cancel in the billing portal; cancellation takes effect at the end of the current paid period (no partial-period refunds).
6.3 Upgrades/Downgrades
- Upgrades may apply immediately.
- Downgrades typically take effect at the next renewal.
- Plan change behavior may depend on your payment processor (e.g., Stripe) and will be shown at checkout or in the portal.
6.4 Price Changes
We may change prices providing reasonable notice before your next renewal. Continued use after the effective date constitutes acceptance; otherwise cancel before renewal.
6.5 Trials/Promos
Trials/promotions are subject to their terms and may convert to paid unless you cancel before the end of the trial.
6.6 Taxes
Prices may exclude taxes; you are responsible for applicable taxes.
6.7 Disputes/Chargebacks
If you believe there is a billing error, contact us first at [email protected]. Unresolved chargebacks may result in account suspension and forfeiture of credits. See our Refund Policy for details.
7. Third-Party Services & YouTube
- The Service integrates with third parties (e.g., Stripe, email providers, cloud/AI vendors, Google OAuth). Your use of those services may be subject to their terms.
- We are not responsible for third-party services’ acts or omissions.
8. Privacy & Consent Logging
Our Privacy Policy explains how we collect and use data, including IP, user-agent, device identifiers, and consent logs. When you proceed past sign-in/sign-up notices, we record your acceptance (including timestamp, IP, user-agent, and a method flag, e.g., notice) to demonstrate compliance. 9. DMCA / Copyright Policy
If you believe content infringes your rights, email [email protected] with:
- your contact info;
- a description/links to the material;
- a statement of good-faith belief;
- a statement under penalty of perjury that your notice is accurate and you are authorized; and
- your signature.
We may remove content and/or terminate repeat infringers where appropriate.
10. Suspension & Termination
We may suspend or terminate access immediately if you breach these Terms, if required by law, for non-payment, or for misuse. You may cancel at any time via the billing portal. Upon termination or cancellation: your right to use the Service ends; we may delete or disable access to content after a reasonable period (subject to legal retention obligations). Sections that by nature should survive (e.g., 4, 5, 6, 7, 10–16) will survive.
11. Beta / Experimental Features
Beta features are provided "as is" and may change or be withdrawn at any time. We disclaim warranties and liabilities to the maximum extent permitted for beta features.
12. Warranties & Disclaimers
The Service (including AI outputs) is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties (express/implied), including merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant uninterrupted or error-free operation, or that outputs will meet your requirements or be free of third-party claims.
13. Limitation of Liability
To the maximum extent permitted by law, we and our suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, goodwill, data, or business interruption; or costs of substitute services, arising out of or in connection with these Terms or the Service, even if advised of the possibility. Our total aggregate liability for all claims relating to the Service in any 12-month period will not exceed the amounts you paid to us for the Service in that period (or £100 if you have not paid). Some jurisdictions do not allow certain exclusions/limitations; in those cases, the exclusions/limitations apply to the maximum extent permitted.
14. Indemnification
You will indemnify and hold harmless Creativverse Studio Ltd and its directors, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your breach of these Terms; or (d) your violation of law or third-party rights.
15. Export & Sanctions
You represent that you are not located in, under the control of, or a national/resident of any country/party subject to UK, EU, or US embargoes or sanctions; you will not use the Service in violation of export control or sanctions laws.
16. Governing Law & Venue
These Terms are governed by the laws of England and Wales (excluding conflict-of-laws rules). You agree to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer resident in the UK/EU, you may benefit from mandatory provisions of your local law; this clause does not limit those rights.
17. Changes to these Terms
We may update these Terms. We will post the updated version with a new "Last updated" date and, where material, provide additional notice (e.g., in-app or by email). Changes apply from their effective date. If you do not agree, you must stop using the Service and cancel your subscription before renewal.
18. General
If any provision is found unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign as part of a merger, acquisition, or asset sale. These Terms (plus policies referenced) form the entire agreement between you and us regarding the Service.
